Florida is a strong home state and a weak flag of convenience. If you or your operations are physically here, forming in Florida keeps everything in one jurisdiction, and the absence of a personal state income tax genuinely helps owners of pass through entities.

Chosen remotely, it compares poorly with Wyoming or New Mexico. You inherit an annual report with a hard deadline and an unusually blunt late penalty, in exchange for nothing that those states do not offer more cheaply.

The one situation where forming in Florida from elsewhere makes sense is property. If the entity exists to hold Florida real estate, form it in Florida rather than owning Florida property through an out of state entity that will need to qualify here anyway.
